These Terms of Service ("Terms") govern your access to and use of the website, software platform, free tools, and digital marketing services provided by AdIQ ("AdIQ," "we," "us," or "our"). By browsing the website, using any free tool such as the grader, purchasing a subscription, or signing an order form, you agree to be bound by these Terms, including the binding arbitration provision and class-action waiver in Section 13. Please read them carefully.
Acceptance of Terms
These Terms govern your access to and use of the AdIQ website at adiq.com and front.adiq.com, our free tools (including the business grader at grader.adiq.com and the Visibility Score), our customer dashboard, and our paid marketing services (together, the "Services"). By accessing or using any part of the Services, including by simply browsing the website or using the grader or any other free tool, you agree to these Terms in their entirety, including the binding arbitration provision and class-action waiver in Section 13. If you do not agree, do not access or use the Services.
By using the Services you confirm that you are at least 18 years of age and have the legal authority to enter into binding contracts on behalf of yourself or your business entity. If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.
These Terms incorporate by reference, and you also agree to, the following, each available in our Legal Center: our Privacy Policy, Messaging (SMS) Terms, and Acceptable Use Policy. If you purchase a paid plan, your subscription is also governed by the Customer Subscription and Services Agreement, and, where you process personal data through the Services, the Data Processing Addendum.
Your continued use of the Services following any modification to these Terms constitutes your acceptance of the revised Terms. We will notify you of material changes by email and by updating the "Last updated" date at the top of this page.
Services Description
AdIQ provides done-for-you digital marketing services for local businesses. Depending on your subscription plan, services may include any combination of the following:
Website & Digital Presence
- Website Design & Development. Custom-designed, mobile-optimized business websites built and hosted on behalf of clients, including ongoing maintenance and updates.
- Branding & Design. Logo creation, brand identity development, graphic design assets, and visual consistency management across all marketing channels.
Search & Visibility
- Search Engine Optimization (SEO). On-page, off-page, and technical SEO including local citation building, Google Business Profile optimization, keyword targeting, and monthly performance reporting.
- AI Search / LLM Optimization. Optimization strategies to ensure client businesses are discovered and cited by large language models including ChatGPT, Google Gemini, Claude, and Perplexity AI.
- Voice Search Optimization. Structured data markup, FAQ schema, and conversational content strategies to improve visibility in voice assistant queries (Google Assistant, Alexa, Siri).
Paid Advertising
- Google Ads Management. Full-service management of Google Search, Display, Performance Max, and Local Services Ads campaigns, including copywriting, bid strategy, and optimization.
- Meta Ads Management. Facebook and Instagram paid social advertising including audience building, creative production, A/B testing, and performance reporting.
Social Media & Content
- Social Media Management. Content creation, scheduling, and posting across client social profiles including Facebook, Instagram, Google Business Profile posts, and other relevant platforms.
- Video Marketing. Short-form and long-form video production, editing, and distribution including YouTube optimization and social video campaigns.
Reputation & Reviews
- Review Management. Automated review request campaigns, review monitoring, response management, and reputation reporting across Google, Facebook, and other review platforms.
Technology & AI Tools
- CID Call Tracking. Unique phone number provisioning and call tracking technology to attribute inbound calls to specific marketing campaigns and channels.
The specific services included in your subscription are determined by your selected plan (Pro, Premier, or Elite) and any applicable order form or statement of work executed between you and AdIQ.
Subscription Plans
AdIQ offers three primary subscription tiers. All plans include access to the AdIQ client dashboard, monthly performance reporting, and a dedicated account manager.

AdIQ reserves the right to modify plan pricing and included services upon 30 days' written notice to existing subscribers. Modified pricing takes effect at the start of your next billing cycle following the notice period. Existing subscribers are not subject to price increases during an active minimum term period.
Custom enterprise plans may be available for businesses requiring services beyond the scope of the Elite plan. Contact your account manager or our contact form for details.
Subscription Plans & Billing
Billing commences immediately upon submission of the checkout form. The first month's subscription fee is charged on the day of enrollment to the payment method provided. Subsequent monthly fees are charged on the same calendar day each month thereafter, or as otherwise specified in your selected plan.
Plans available include Pro ($299/mo), Premier ($399/mo), and Elite ($599/mo), each subject to the minimum-term commitment described in §5.
You may update your payment method at any time through your customer dashboard or by contacting support. Failure to maintain a valid payment method may result in service suspension after our retry process completes.
Failed Payments
If a payment fails, AdIQ will attempt to reprocess the charge up to three times over a 10-day period. If all retry attempts fail, your account may be suspended. Suspended accounts will have services paused until payment is successfully collected. AdIQ is not liable for any business losses incurred during a suspension period resulting from failed payment.
Taxes
Subscription fees are exclusive of applicable sales, use, value-added, or similar taxes. Where required by law, AdIQ will collect and remit applicable taxes, which will be added to your invoice.
Refund Policy
AdIQ does not issue refunds for subscription fees once the billing period has commenced. All sales are final. If you cancel your subscription, you will retain access to services through the end of your current paid billing period.
Minimum-Term Commitments & Cancellation
Each subscription plan carries a minimum-term commitment as follows: Pro: 6 months minimum, Premier: 12 months minimum, Elite: 12 months minimum (custom contract terms may apply).
Cancellation
You may cancel your subscription at any time by visiting Settings → Billing in your customer dashboard, or by contacting support at our contact form. Upon cancellation:
- Service continues through the end of the paid billing period.
- You will not be billed for subsequent periods.
- Subscription fees for the current billing period are non-refundable.
Cancellation prior to satisfying your plan's minimum-term commitment may result in early-termination obligations as described in your service agreement.
Performance Guarantee
AdIQ offers a 90-day Performance Guarantee on Pro, Premier, and Elite plans (see Pricing page for full terms). If your selected keywords do not achieve qualifying rankings within 90 days of onboarding completion, AdIQ continues providing service until those rankings are achieved, at no additional cost. The Performance Guarantee is the exclusive remedy for under-performance and does not entitle you to a cash refund.
Effect of Cancellation
Upon cancellation, AdIQ will cease performing services on your behalf. Any websites built by AdIQ on third-party hosting infrastructure provisioned by AdIQ will be transferred to client-controlled hosting, subject to a one-time migration fee, or taken offline at client's discretion. Advertising campaign assets and account access will be returned to the client where technically possible.
Work-for-Free Service Guarantee
AdIQ offers an opt-in, performance-based service guarantee in addition to (and not in place of) the terms in Section 9 (Disclaimer of Warranties). The guarantee is described below.
The Guarantee
If, after ninety (90) days as a paid AdIQ subscriber, you are not ranking for at least two (2) of the ten (10) keywords you selected during onboarding Step 4 — appearing for "[keyword] [your city]" or "[keyword] [your zip code]" on either Google Maps (top three results, also known as the "Local Pack") or Google Search (top ten organic results) — you may request that AdIQ continue to perform the services covered by your active subscription at no monthly charge until the foregoing ranking threshold is met.
How to Request the Guarantee
The guarantee is opt-in and must be requested by the customer in writing. It does not trigger or apply automatically. To request a guarantee evaluation, use our contact form or call 1-888-402-ADIQ. AdIQ will evaluate your account within ten (10) business days of receiving your request. If the ranking threshold above has not been met, AdIQ will pause monthly billing for your covered subscription and continue performing services until the threshold is met. Once two (2) or more selected keywords are ranking in the qualified positions, monthly billing will resume on the next billing cycle.
Eligibility & Conditions
- The 90-day eligibility window begins on the date your onboarding is fully complete (defined as: account activated, service agreement signed, and Google Business Profile verification requested).
- The "ten selected keywords" are the keywords you confirmed during onboarding Step 4 (SEO Keywords). Modifying that list after onboarding completion resets the 90-day eligibility window.
- The guarantee remedy is continued service at no monthly charge. No cash refunds, credits, or chargebacks are issued under this guarantee.
- The customer must be in good standing (no payment chargebacks, no disputed invoices, no Terms violations) at the time the guarantee is requested and throughout the period of guarantee-active service.
- AdIQ may verify keyword rankings using industry-standard tools, including but not limited to Google Search Console, Local Falcon, Semrush, Ahrefs, or equivalent. AdIQ's good-faith evaluation of rankings as of the date of evaluation is final for guarantee determination purposes.
- Add-on products (call tracking, social media boosters, branded domains, hosting, and similar a la carte services) are not subject to the keyword-ranking trigger and continue to be billed in accordance with their own terms during any guarantee-active period.
- This guarantee applies only to AdIQ subscribers paying full subscription fees. It does not apply to subscribers receiving promotional pricing of $0/month, or accounts already in a guarantee-active state.
- This guarantee is non-transferable and applies only to the original subscriber and the original 10 selected keywords. Sale or transfer of the underlying business voids the guarantee.
Relationship to Section 9 (Disclaimer of Warranties)
For the avoidance of doubt: this Section 6 is an explicit, opt-in service-continuation remedy and is the sole guarantee or warranty AdIQ offers with respect to keyword rankings or marketing performance. The general disclaimer in Section 9 remains in full force and effect. Nothing in this Section 6 shall be construed as a guarantee of specific revenue outcomes, lead volumes, advertising performance, conversion rates, or business results.
Client Obligations
To enable AdIQ to perform services effectively, you agree to the following obligations:
Access & Credentials
- Provide AdIQ with administrator access to your Google Business Profile, Google Ads account, Meta Business Manager, website hosting, domain registrar, and any other platforms necessary for the delivery of your subscribed services within 10 business days of account activation.
- Maintain active ownership of all accounts and ensure that AdIQ personnel are granted appropriate permissions. Failure to provide timely access may delay service delivery.
Onboarding Participation
- Complete the AdIQ onboarding questionnaire and participate in any required kickoff calls within 14 days of account activation.
- Provide accurate and complete business information including your business name, address, phone number, website URL, service areas, target keywords, and any existing marketing materials or brand assets.
- Respond to AdIQ communications requiring client approval or input (e.g., website design proofs, ad copy approvals) within 5 business days to avoid service delays.
Accuracy of Information
You represent and warrant that all business information you provide to AdIQ is accurate, current, and not misleading. You agree to promptly notify AdIQ of any changes to your business information that may affect service delivery.
Compliance
You are solely responsible for ensuring that your business, products, and services comply with all applicable federal, state, and local laws and regulations, including advertising standards, consumer protection laws, and industry-specific requirements. AdIQ is not responsible for any legal exposure arising from your business operations or the underlying claims in your marketing content.
Prohibited Uses
You agree not to use AdIQ services in connection with any business or activity that:
- Violates any applicable law or regulation;
- Infringes upon the intellectual property rights of any third party;
- Involves deceptive, misleading, or fraudulent marketing practices;
- Promotes illegal goods or services, adult content, or content that discriminates on the basis of protected characteristics.
SMS / Text Message Terms
By providing your mobile phone number to AdIQ and proceeding with account registration, onboarding, or demo access, you consent to receive SMS text messages from AdIQ for the following purposes:
- Identity verification. One-time verification codes (2FA) sent during registration, onboarding, and demo access;
- Account notifications. Critical updates about your account, billing, and service milestones;
- Security alerts. Notifications about account access and security events.
AdIQ does not send promotional or marketing messages via SMS unless you separately opt in. Message frequency varies; typical users receive fewer than 5 messages per month. Message and data rates may apply per your carrier plan. AdIQ does not charge fees for SMS messages.
You may opt out at any time by replying STOP to any message. For help, reply HELP or contact our contact form. Opting out of SMS does not affect your account or services. See our SMS Privacy Policy for full details on data handling.
SMS services are provided via Twilio, Inc. and are subject to Twilio's Acceptable Use Policy. Supported carriers include AT&T, T-Mobile, Verizon, Sprint, US Cellular, Rogers, Bell, Telus, and others. Carrier delivery is not guaranteed.
Intellectual Property
Client-Owned Assets
You retain full ownership of your business name, trademarks, logos, and any pre-existing brand assets or content you provide to AdIQ. Any content you supply remains your property at all times.
Work Product & Deliverables
Upon full payment of all fees due, AdIQ assigns to you ownership of the following deliverables created specifically for your account: your website design and code (excluding third-party licensed components), your logo and brand identity materials (if created under a branding service), and your advertising creative assets (ad copy, graphics, videos).
AdIQ Platform & Proprietary Methods
AdIQ retains all right, title, and interest in and to: (a) the AdIQ software platform, dashboards, and reporting tools; (b) AdIQ's proprietary methodologies, frameworks, processes, and technology; (c) any AI models, algorithms, or training data developed or maintained by AdIQ; and (d) all general knowledge, skills, and know-how developed by AdIQ in the course of providing services. These rights are not transferred to you under any circumstances.
License During Subscription
For the duration of your active subscription, AdIQ grants you a limited, non-exclusive, non-transferable license to access and use the AdIQ client portal and reporting dashboard solely for your internal business purposes. This license terminates immediately upon cancellation or termination of your subscription.
Third-Party Tools
AdIQ may use third-party software, stock imagery, plugins, or licensed content in delivering services. AdIQ represents that it has appropriate licenses for such materials, but the underlying license rights remain with the original rights holders.
Disclaimer of Warranties
AdIQ does not guarantee specific search engine rankings, advertising performance results, lead volumes, or revenue outcomes. Digital marketing results depend on numerous factors outside AdIQ's control, including search engine algorithm changes, market competition, client industry, geographic location, and the quality of the client's business offering.
AdIQ's services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, AdIQ expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
- Warranties that services will be uninterrupted, error-free, or completely secure;
- Warranties regarding the accuracy or completeness of any reporting data;
- Warranties that any specific marketing outcomes, rankings, leads, or revenue will be achieved.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall AdIQ, its officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to these Terms or your use of AdIQ's services, even if AdIQ has been advised of the possibility of such damages.
AdIQ's total aggregate liability to you for any claim arising out of or relating to these Terms or AdIQ's services shall not exceed the greater of: (a) the total subscription fees paid by you to AdIQ in the three months immediately preceding the event giving rise to the claim, or (b) $500.
The limitations of liability set forth in this section reflect the allocation of risk between you and AdIQ, form an essential basis of the bargain between the parties, and shall apply to all claims of liability regardless of whether such claims are based in contract, tort (including negligence), strict liability, or any other theory.
Indemnification
You agree to defend, indemnify, and hold harmless AdIQ and its officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use of or access to AdIQ's services;
- Your violation of these Terms;
- Your violation of any applicable law or the rights of any third party;
- Any content or business information you provide to AdIQ that is inaccurate, misleading, or infringes any third-party right;
- Any claim by a third party that your underlying business, products, or services are unlawful or infringe their rights.
Termination
Termination by AdIQ
AdIQ may suspend or terminate your account and access to services immediately, without prior notice or liability, if:
- You materially breach any provision of these Terms and fail to cure such breach within 10 days of written notice;
- You fail to make any required payment and the account remains delinquent after the retry period;
- You engage in conduct that AdIQ reasonably believes to be fraudulent, abusive, or harmful to AdIQ or other clients;
- Continued performance would expose AdIQ to legal liability.
Termination by Client
You may terminate your subscription in accordance with the cancellation provisions in Section 5. Early termination does not relieve you of any outstanding payment obligations for the minimum term period.
Effect of Termination
Upon termination for any reason, all rights and licenses granted to you under these Terms will immediately terminate. Provisions that by their nature should survive termination, including Sections 7, 8, 9, 10, and 12, shall survive.
Governing Law, Binding Arbitration & Class-Action Waiver
Please read this Section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have a jury hear your claims.
Governing law. These Terms, and any dispute arising out of or relating to them, the website, our tools (including the grader at grader.adiq.com and the Visibility Score), or the Services, are governed by the laws of the State of Nevada, without regard to its conflict-of-law rules, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration provision below.
Scope. This Section applies to any dispute, claim, or controversy of any kind (whether based in contract, tort, statute, or otherwise) between you and AdIQ arising out of or relating to: (a) your access to or use of the website or any free tool, including the grader and the Visibility Score, even if you never become a paying customer; (b) the Services; (c) these Terms or any incorporated policy; or (d) any communications you receive from us, including SMS messages (each, a "Dispute").
Informal resolution first. Before starting an arbitration, you agree to first send a written Notice of Dispute to AdIQ at legal [at] adiq.com, describing the claim and the relief sought. The parties will attempt in good faith to resolve the Dispute for 30 days before either party may begin arbitration.
Binding arbitration. If the Dispute is not resolved within 30 days, it will be resolved by final and binding individual arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures (or, for consumer claims, its Consumer Minimum Standards) then in effect. The seat and venue of the arbitration will be Clark County, Nevada, although you may elect to appear by telephone or video, or to have a documents-only proceeding where the rules allow. Judgment on the award may be entered in any court of competent jurisdiction located in Clark County, Nevada, and you and AdIQ consent to the personal jurisdiction of those courts for that purpose and for any relief described below.
Class-action and jury-trial waiver. You and AdIQ agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. You and AdIQ waive any right to a trial by jury. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this class-action and jury-trial waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and may proceed in court, while all other claims remain in arbitration.
Mass arbitration. If 25 or more similar Notices of Dispute are submitted by or with the assistance of the same or coordinated counsel, the parties will use the JAMS mass-arbitration or batching procedures then in effect (or, if none, a bellwether process agreed by the parties) to resolve the claims efficiently, and any applicable filing-fee and limitations deadlines are tolled while those procedures are arranged.
30-day right to opt out. You may opt out of this arbitration and class-waiver Section by sending written notice, within 30 days of first accepting these Terms, to legal [at] adiq.com, stating your name, the email or phone number associated with your use of the Services, and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
Carve-outs. Notwithstanding the above, either party may (1) bring an individual claim in small-claims court if it qualifies, and (2) seek injunctive or other equitable relief in a court of competent jurisdiction in Clark County, Nevada to protect its intellectual property or confidential information or to stop unauthorized use of the Services.
Note on Nevada governing law: nothing in this Section is intended to deprive a consumer of any non-waivable protection of the law of the state in which they reside, to the extent that protection applies notwithstanding the parties' choice of law.
Changes to Terms
AdIQ reserves the right to modify these Terms at any time. When we make material changes, we will notify you by email to the address on file for your account and by updating the "Last updated" date at the top of this page. Non-material changes (such as typographic corrections or clarifications that do not affect your rights) may be made without notification.
Your continued use of AdIQ's services after the effective date of any modification constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must notify us and cancel your subscription in accordance with Section 5.
