This Customer Subscription and Services Agreement (this "Agreement") is entered into between AdIQ ("AdIQ," "we," or "us") and the business or person that purchases a paid plan ("Customer," "you," or "your"). This Agreement governs your paid subscription. Your general use of our website and tools is also governed by our Terms of Service, Privacy Policy, Messaging (SMS) Terms, and Acceptable Use Policy, each incorporated here by reference. If a term here conflicts with the Terms of Service for matters specific to your paid subscription, this Agreement controls for those matters.
AdIQ provides done-for-you local digital marketing managed on your behalf, which may include a managed website, local SEO and Agentic Search Optimization, Google Business Profile and local-listings management, review management, social media management, managed advertising, call tracking, branding, and related tools and a reporting dashboard. The exact deliverables depend on your plan and selected add-ons and may evolve as the underlying platforms and APIs change.

Prices are in U.S. dollars and exclude applicable taxes. A one-time setup fee usually applies and is disclosed at checkout; AdIQ may waive it at its discretion. Add-on products (for example call tracking, managed-ads boosters, branded domains, and branded email) are billed per their own pricing and terms in addition to your plan.
Billing commences immediately upon submission of the checkout form. By providing a payment method you authorize AdIQ and its payment processors to charge that method the plan fee (plus any setup fee and add-ons) on the day you sign up and on the same day each billing cycle thereafter until the Agreement ends. We do not provide a free trial, and there is no pre-charge grace period.
Failed payments. If a charge fails, AdIQ will attempt to reprocess it up to three times over a 10-day period. If all attempts fail, your account may be suspended until payment is resolved.
Your plan carries the minimum term shown in Section 2 (6 months for Pro; 12 months for Premier and Elite), beginning when your onboarding is complete. If you cancel before the end of your minimum term, you remain responsible for the fees for the remaining months of that term. After the minimum term, the Agreement continues month-to-month and you may cancel with 30 days' written notice to our contact form. Cancellation takes effect at the end of the then-current billing cycle.
All sales are final and AdIQ does not issue refunds for subscription fees, setup fees, or add-ons once a billing period has commenced. The 90-day guarantee in Section 6 provides continued service, not a cash refund.
If, within your first 90 days as a paying AdIQ customer, you are not getting found for at least 2 of the 10 keywords you selected during onboarding, you may request that we continue working on your account at no additional monthly charge until we do. "Getting found" is satisfied for a keyword by any one of the following:
The guarantee is opt-in and must be requested in writing to our contact form; it does not trigger automatically. The remedy is continued service at no charge, not a cash refund. Add-on products are not subject to this guarantee. Full terms, including how rankings and AI citations are verified, are published on our pricing page.
To deliver the Services you authorize AdIQ to act on your behalf, including to request and hold manager access to your Google Business Profile and other accounts needed to perform the Services. You may revoke this access at any time, though doing so may prevent us from delivering parts of the Services. You are responsible for maintaining the accuracy of business information you provide.
You retain ownership of your business name, logos, photos, and other materials you provide ("Customer Content"), and you grant AdIQ a non-exclusive license to use them to deliver the Services. AdIQ retains all rights in its platform, software, templates, and tooling. Work product created for you (such as your website) is licensed to you for use during your subscription; a transfer of the website to you outside the platform is available at AdIQ's standard transfer rate. You represent that you have the rights to all Customer Content you provide.
The following apply to the corresponding Services where included in your plan or purchased as add-ons.
AdIQ builds and hosts a managed, mobile-first website for your business. Website revisions are performed by AdIQ at a reasonable cadence based on your plan; large redesigns or out-of-scope work may be quoted separately.
We work to improve your visibility on Google Search, Google Maps, and AI assistants. Rankings and AI citations depend on factors outside AdIQ's control, including search-engine and AI-platform algorithms, competition, and your market. We do not guarantee specific rankings, traffic, revenue, or lead volume beyond the Section 6 guarantee.
Where included, AdIQ manages and posts content to your connected social profiles on a regular cadence. You are responsible for providing access and for the accuracy of business details used in posts.
Managed ad products (such as the HyperLocal Booster on Google Ads and the Social Media Booster on Meta) require a separately funded, pre-paid ad budget in addition to the management fee. Ad spend is paid to the ad platforms; results vary and are not guaranteed.
Design deliverables are provided per your plan or as add-ons. Reasonable revision rounds are included; additional rounds may be quoted. Final files are provided on completion.
Where AdIQ registers or manages a domain on your behalf, the domain is registered for your business. Domain registration and renewal fees may be billed separately. SEO-friendly or branded-redirect domains may be used as part of the Services.
Call tracking assigns tracking numbers and records and scores calls for attribution. By using call tracking you authorize call recording where you have the necessary consent, and you are responsible for any required notices to callers under applicable law.
By becoming a customer you consent to receive transactional and account-related emails. SMS messages are sent only if you separately opt in, as described in our Messaging (SMS) Terms; you can opt out at any time by replying STOP. You can opt out of marketing emails using the unsubscribe link in any such email. See our Privacy Policy for how we handle your data.
This Agreement begins when you submit checkout and continues until cancelled under Section 4. AdIQ may suspend or terminate the Services for non-payment, breach of these terms or the Acceptable Use Policy, or as required by law. Sections that by their nature should survive termination (including payment obligations, intellectual property, disclaimers, limitation of liability, and dispute resolution) survive.
The Services are provided "as is" and "as available." To the maximum extent permitted by law, AdIQ disclaims all implied warranties and does not guarantee specific results, revenue, rankings, or lead volume except as expressly stated in Section 6. AdIQ's total liability arising out of or relating to this Agreement will not exceed the total fees you paid to AdIQ in the trailing 12 months before the event giving rise to the claim. AdIQ is not liable for indirect, incidental, consequential, special, or punitive damages. This limitation is consistent with, and does not enlarge, the limitation in the Terms of Service.
This Agreement is governed by the laws of the State of Nevada, and any dispute is subject to the binding individual arbitration, class-action and jury-trial waiver, and Clark County, Nevada venue set out in Section 13 of the Terms of Service, which is incorporated here by reference, including the 30-day opt-out right.
This Agreement, together with the Terms of Service and the policies incorporated by reference, is the entire agreement between you and AdIQ regarding your paid subscription and supersedes prior proposals or representations. If any provision is unenforceable, the rest remains in effect.
